Your use of the Search Experiences site (the “Site”) and the services and features we offer (the “Services”) is governed by and subject to these Terms of Service. By using the Site and Services, you are deemed to accept and be bound by these Terms of Service. If you do not accept these Terms of Service, please discontinue using the Site and Services. These Terms of Service may change from time to time, without any notice other than posting on the relevant page. Your continued use of the Site and Services following our posting of changes constitutes your acceptance of any such changes.Search Experiences reserves the right, at its sole discretion, to change, modify, add or remove portions of these Terms of Use, at any time. It is your responsibility to check these Terms of Use periodically for changes. Your continued use of the Site following the posting of changes will mean that you accept and agree to the changes. As long as you comply with these Terms of Use, Search Experiences grants you a personal, non-exclusive, non-transferable, limited privilege to enter and use the Site.
Term
This Agreement shall remain in full force and effect while you use the Site Services or are a Member. Search Experiences may terminate your membership at any time, without warning. Even after membership is terminated, this Agreement will remain in effect.
Privacy
Any information that you provide to Search Experiences is subject to our Privacy Policy, which governs our collection and use of your information. You understand that through your use of the Services you consent to the collection and use (as set forth in the Privacy Policy) of this information, including the transfer of this information to the United States and/or other countries for storage, processing and use by Search Experiences. No Automated Querying
You may not send automated queries of any sort to the Site, including:
using any software which sends queries to determine how a website or webpage “ranks” for various queries;
“meta-searching”; and
performing “offline” Searches on the Site.
Conduct
You understand that all information, data, text, software, music, sound, photographs, graphics, video, messages, tags, or other materials (“Content”), whether publicly posted or privately transmitted, are the sole responsibility of the person from whom such Content originated. This means that you, and not Search Experiences, are entirely responsible for all Content that you upload, post, email, transmit or otherwise make available via the Search Experiences Services. Search Experiences does not control the Content posted via the Search Experiences Services and, as such, does not guarantee the accuracy, integrity or quality of such Content. You understand that by using the Search Experiences Services, you may be exposed to Content that is offensive, indecent or objectionable. Under no circumstances will Search Experiences be liable in any way for any Content, including, but not limited to, any errors or omissions in any Content, or any loss or damage of any kind incurred as a result of the use of any Content posted, emailed, transmitted or otherwise made available via the Search Experiences Services.
You agree not to use the Services to:
upload, post, email, transmit or otherwise make available any Content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, hateful, or racially, ethnically or otherwise objectionable;

upload, post, email, transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other form of solicitation, except in those areas (such as shopping) that are designated for such purpose (please read our complete Spam Policy);

interfere with or disrupt the Search Experiences Services or servers or networks connected to the Search Experiences Services, or disobey any requirements, procedures, policies or regulations of networks connected to the Search Experiences Services, including using any device, software or routine to bypass our robot exclusion headers;
intentionally or unintentionally violate any applicable local, state, national or international law, including, but not limited to, regulations promulgated by the U.S. Securities and Exchange Commission, any rules of any national or other securities exchange, including, without limitation, the New York Stock Exchange, the American Stock Exchange or the NASDAQ, and any regulations having the force of law;
provide material support or resources (or to conceal or disguise the nature, location, source, or ownership of material support or resources) to any organization(s) designated by the United States government as a foreign terrorist organization pursuant to section 219 of the Immigration and Nationality Act;
collect or store personal data about other users in connection with the prohibited conduct and activities set forth in paragraphs a through m above.
You acknowledge that Search Experiences may or may not pre-screen Content, but that Search Experiences and its designees shall have the right (but not the obligation) in their sole discretion to pre-screen, refuse, or remove any Content that is available via the Search Experiences Services. Without limiting the foregoing, Search Experiences and its designees shall have the right to remove any Content that violates the Terms of Service or is otherwise objectionable. You agree that you must evaluate, and bear all risks associated with, the use of any Content, including any reliance on the accuracy, completeness, or usefulness of such Content. In this regard, you acknowledge that you may not rely on any Content created by Search Experiences or submitted to Search Experiences, including without limitation information in Search Experiences Message Boards and in all other parts of the Search Experiences Services.
You acknowledge, consent and agree that Search Experiences may access, preserve and disclose your account information and Content if required to do so by law or in a good faith belief that such access preservation or disclosure is reasonably necessary to: (i) comply with legal process; (ii) enforce the Terms of Service; (iii) respond to claims that any Content violates the rights of third parties; (iv) respond to your requests for customer service; or (v) protect the rights, property or personal safety of Search Experiences, its users and the public.
You understand that the Search Experiences Services and software embodied within the Search Experiences Services may include security components that permit digital materials to be protected, and that use of these materials is subject to usage rules set by Search Experiences and/or content providers who provide content to the Search Experiences Services. You may not attempt to override or circumvent any of the usage rules embedded into the Search Experiences Services. Any unauthorized reproduction, publication, further distribution or public exhibition of the materials provided on the Search Experiences Services, in whole or in part, is strictly prohibited.
Accounts, Passwords and Security
Certain features or services offered on or through the Site may require you to open an account (including setting up an Search Experiences ID and password). You are entirely responsible for maintaining the confidentiality of the information you hold for your account, including your password, and for any and all activity that occurs under your account as a result of your failing to keep this information secure and confidential. You agree to notify Search Experiences immediately of any unauthorized use of your account or password, or any other breach of security. You may be held liable for losses incurred by Search Experiences or any other user of or visitor to the Site due to someone else using your Search Experiences ID, password or account as a result of your failing to keep your account information secure and confidential.
You may not use anyone else’s Search Experiences ID, password or account at any time without the express permission and consent of the holder of that Search Experiences ID, password or account. Search Experiences cannot and will not be liable for any loss or damage arising from your failure to comply with these obligations.
Age Restriction
The Search Experiences service is not intended for children under 13 years of age, and you may not create a user profile if you are under 13.
Use the Services at Your Own Risk
The Services includes links to other websites or resources. Because Search Experiences has no control over such sites and resources, you acknowledge and agree that Search Experiences is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any content, advertising, products, or other materials on or available from such sites or resources. You acknowledge that such external sites usually have their own terms and conditions, including privacy policies, over which Search Experiences has no control and which will govern your rights and obligations with respect to the use of those websites.
To offer use of the Site and Services to its users for free, Search Experiences allows advertisers to display advertisements or promotional answers on the Site. Your dealings with advertisers and third party vendors found on or through the Services, including your participation in promotions, purchase of goods and services, and any terms, conditions, warranties or representations associated with such activities, are solely between you and the third party advertiser or vendor. LIMITATION OF LIABILITY
SUBJECT TO OVERALL PROVISION ABOVE, YOU EXPRESSLY UNDERSTAND AND AGREE THAT Search Experiences, ITS SUBSIDIARIES AND AFFILIATES, AND ITS LICENSORS SHALL NOT BE LIABLE TO YOU FOR:
ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL CONSEQUENTIAL OR EXEMPLARY DAMAGES WHICH MAY BE INCURRED BY YOU, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY.. THIS SHALL INCLUDE, BUT NOT BE LIMITED TO, ANY LOSS OF PROFIT (WHETHER INCURRED DIRECTLY OR INDIRECTLY), ANY LOSS OF GOODWILL OR BUSINESS REPUTATION, ANY LOSS OF DATA SUFFERED, COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, OR OTHER INTANGIBLE LOSS;

YOUR FAILURE TO PROVIDE Search Experiences WITH ACCURATE ACCOUNT INFORMATION;
YOUR FAILURE TO KEEP YOUR PASSWORD OR ACCOUNT DETAILS SECURE AND CONFIDENTIAL;
THE LIMITATIONS ON Search Experiences’ LIABILITY TO YOU ABOVE SHALL APPLY WHETHER OR NOT Search Experiences HAS BEEN ADVISED OF OR SHOULD HAVE BEEN AWARE OF THE POSSIBILITY OF ANY SUCH LOSSES ARISING.

Termination
You may terminate your Search Experiences account, any associated email address and access to the Search Experiences Services by submitting such termination request to Search Experiences.
You agree that Search Experiences may, without prior notice, immediately terminate, limit your access to or suspend your Search Experiences account, any associated email address, and access to the Search Experiences Services. Cause for such termination, limitation of access or suspension shall include, but not be limited to, (a) breaches or violations of the Terms of Service or other incorporated agreements or guidelines, (b) requests by law enforcement or other government agencies, (c) discontinuance or material modification to the Search Experiences Services (or any part thereof), (d) unexpected technical or security issues or problems, (e) extended periods of inactivity, (f) engagement by you in fraudulent or illegal activities, and/or (g) nonpayment of any fees owed by you in connection with the Search Experiences Services. Further, you agree that all terminations, limitations of access and suspensions for cause shall be made in Search Experiences’ sole discretion and that Search Experiences shall not be liable to you or any third party for any termination of your account, any associated email address, or access to the Search Experiences Services.

Assignment
